Agreement to Terms of Use

These National Nursing, A Professional Corporation Terms of Use ("Terms" or "Agreement") govern your use of our online interfaces and properties, including websites and mobile applications, owned and operated by National Nursing, A Professional Corporation, including the natnursing.com website and the National Nursing, A Professional Corporation mobile application (collectively, the "Site"), as well as the nursing and healthcare services ("Services") provided to users through the Site and through in-person visits. The terms "you" and "your" mean you, your dependents if any, and any other person accessing your National Nursing, A Professional Corporation account. Your acceptance of, and compliance with, these Terms is a condition to your use of the Site and Services. By clicking "Accept" or otherwise using our Site or Services, you acknowledge that you have read, understand, and agree to all terms and conditions contained within these Terms, our Notice of Privacy Practices, and our Privacy Policy. If you do not agree to be bound by these Terms, you are not authorized to access or use this Site or Services; please promptly exit this Site.

About Our Services

National Nursing, A Professional Corporation is a healthcare practice that employs registered nurses, nurse practitioners, and other licensed healthcare professionals (collectively, "Clinicians") to deliver nursing and clinical services directly to patients. Services are provided through telehealth (remote video or audio sessions) and, where applicable, through in-person visits. National Nursing, A Professional Corporation is not a marketplace or referral service — our Clinicians are employed by or contracted directly with National Nursing, A Professional Corporation, and all clinical services you receive are provided by National Nursing, A Professional Corporation through those Clinicians.

The Site and related technology platforms facilitate scheduling, communication, and care coordination between you and our Clinicians. All clinical care you receive is delivered by or under the supervision of National Nursing, A Professional Corporation's healthcare professionals. National Nursing, A Professional Corporation is responsible for the quality and appropriateness of the nursing and clinical services provided to you through its Clinicians.

No Provider-Patient Relationship Established by Site Use

Visiting, browsing, or using this Site — including reading any content, submitting an inquiry, or creating an account — does not, by itself, establish a provider-patient relationship between you and National Nursing, A Professional Corporation or any of its Clinicians. A provider-patient relationship is established only upon National Nursing, A Professional Corporation's express acceptance of you as a patient and the commencement of clinical services, as confirmed through a scheduled and conducted clinical encounter (whether via telehealth or in person).

All information and content available on this Site, including any health or clinical information, is provided for general informational purposes only and does not constitute medical advice, diagnosis, treatment, or a clinical recommendation of any kind. Accessing or relying on information on this Site does not create any duty of care on the part of National Nursing, A Professional Corporation or its Clinicians toward you. If you have a medical question or health concern, you should consult a licensed healthcare professional in an appropriate clinical setting.

Health Information and Privacy

These Terms do not govern the handling of your Protected Health Information ("PHI"). Our policies regarding the processing of your PHI are covered in our Notice of Privacy Practices ("HIPAA Privacy Practices"), which is provided to you separately and is available on the natnursing.com footer (Notice of Privacy Practices). Our HIPAA Privacy Practices are prepared in accordance with the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and govern all processes associated with your healthcare records and other PHI. Please refer to that document — not this one — for all matters related to your PHI.

Binding Arbitration Notice

These Terms provide that all disputes between you and National Nursing, A Professional Corporation that in any way relate to these Terms or your use of the Site will be resolved by BINDING ARBITRATION. ACCORDINGLY, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under these Terms (except as expressly set forth herein). Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury. Please review the "Binding Individual Arbitration" section below for full details.

Changes to Terms

We reserve the right to change or add to these Terms at any time by posting the amended Terms on the Site. Changes to these Terms will not weaken the privacy protections applied to your PHI without prior notice to you, in accordance with our HIPAA Privacy Practices. Any use of the Services after publication of any such changes constitutes your acceptance of the Terms as modified. However, any dispute that arose before a modification shall be governed by the Terms that were in place when the dispute arose.

Emergencies

THIS SITE IS NOT AN EMERGENCY-RESPONSE OR EMERGENCY-MONITORING SERVICE. ANY PERSON WHO IS AWARE OF AN EMERGENCY SITUATION, OR BELIEVES THAT A PERSON MAY BE AT RISK OF INJURY OR DEATH OR MAY HARM THEMSELVES OR ANOTHER PERSON, SHOULD DIAL 911 OR CONTACT AN APPROPRIATE EMERGENCY RESPONDER IMMEDIATELY. NATIONAL NURSING, A PROFESSIONAL CORPORATION IS UNDER NO OBLIGATION TO MONITOR OR RESPOND TO EMERGENCY COMMUNICATIONS MADE THROUGH THIS SITE.

Scope of Clinical Services

National Nursing, A Professional Corporation provides nursing and clinical services through its employed and contracted Clinicians, including but not limited to patient assessments, care coordination, telehealth consultations, wound care, medication administration, health education, and related nursing services. Services may be delivered via telehealth (synchronous video or audio sessions and asynchronous communication) or in person, as determined by clinical need and your agreement with National Nursing, A Professional Corporation.

The content available on the Site, including text, audio, video, photographs, illustrations, graphics, and other visuals, is for general informational purposes only and does not substitute for the individualized clinical assessment and judgment of your Clinician, and does not constitute medical advice, diagnosis, or treatment. You should always seek the advice of your Clinician or another qualified healthcare professional regarding your individual health needs and medical conditions.

The medical services, treatment, and care you receive may vary based on your individual health status, the services requested, your geographic location, and the availability of our Clinicians. Please contact National Nursing, A Professional Corporation directly for any questions regarding your care.

Risks of Telehealth Services

Telehealth involves the delivery of healthcare services using electronic communications, information technology, or other means between a healthcare professional and a patient who are not in the same physical location. While telehealth services may offer significant benefits, including improved access to care, there are also potential risks, including limitations in physical examination, technology failures, and privacy risks inherent in electronic communications. Telehealth services are not a substitute for in-person care in all clinical situations.

In order to use our telehealth Services, you will be required to review and agree to a separate informed consent regarding the use of telehealth (the "Telehealth Consent") that will be provided to you by National Nursing, A Professional Corporation through the Site or directly prior to your first telehealth session.

Prescription Policy

National Nursing, A Professional Corporation does not endorse any specific medication, pharmacy, or pharmacologic product. Where a Clinician has prescribing authority under applicable state law and determines that a prescription is clinically appropriate, the Clinician will prescribe within the scope of their licensure, applicable state regulations, and their professional judgment. There is no guarantee that a prescription will be written. Clinicians do not prescribe DEA-controlled substances or scheduled medications through the telehealth platform, or certain other drugs that may be harmful because of their potential for abuse, except where expressly permitted by applicable law and clinical protocol. National Nursing, A Professional Corporation honors patient freedom of choice and, if you receive a prescription, you have the option to have it transmitted to a pharmacy of your choice.

Not an Insurance Product

National Nursing, A Professional Corporation is not an insurer. The Services are not insurance products, and any amounts you pay to National Nursing, A Professional Corporation are not insurance premiums. If you desire health insurance or other coverage, you will need to obtain such insurance separately.

Age Limitations

In order to access the Site and Services, you represent and warrant that you are at least 18 years of age. If you are under the age of 18 and wish to use our Site or Services, your parent or legal guardian must agree to your use of the Site and Services, submit your personal information, and agree to these Terms on your behalf. If you are under the age of 13, you may only use our Services with the verified consent and active supervision of your parent or legal guardian. If we learn that we have collected personal information from a child under the age of 13 without verifiable parental consent, we will promptly delete that information. If you believe we have improperly collected personal information from a child under the age of 13, please contact us at support@natnursing.com.

Restrictions on Use

You may use this Site only in compliance with all applicable laws, rules, and regulations. National Nursing, A Professional Corporation operates subject to state and federal laws and regulations, and Services may not be available in all geographic areas. You represent that you are not barred from receiving the Services under the laws of the United States or any other applicable jurisdiction. Access to and use of the Site or Services is limited exclusively to users in locations within the United States where our Services are available. Accessing the Site or Services from jurisdictions where such content is illegal, or where we do not offer Services, is prohibited.

You are prohibited from violating or attempting to violate the security of the Site, including: (a) accessing data not intended for you or logging onto a server or account that you are not authorized to access; (b) attempting to probe, scan, or test the vulnerability of a system or network, or to breach security or authentication measures without proper authorization; or (c) accessing or using the Site or any portion thereof without authorization, in violation of these Terms or applicable law. You may not use any scraper, crawler, spider, robot, or other automated means to access or copy data on the Site, deep-link to any feature or content on the Site, or bypass our access controls. Violations of system or network security may result in civil or criminal liability. You agree not to use any device, software, or routine to interfere with the proper operation of this Site.

Your Privacy

Upon acceptance of these Terms, you confirm that you have read, understood, and accepted National Nursing, A Professional Corporation's Online Privacy Policy, Notice of Privacy Practices, and Website Privacy Policy each available in the footer of www.natnursing.com.

Registration

Registration may be required to access certain parts of the Site or Services. To register, you will be asked to provide certain information about yourself, including your e-mail address and a password ("Credentials"). By registering, you accept responsibility for all activities that occur under your account. You agree to provide true, accurate, complete, and current information at registration and to promptly update that information as needed. You should keep your Credentials private and not share them with anyone. If you believe someone has accessed the Site using your Credentials without your authorization, notify us immediately at support@natnursing.com.

Transactions

If you wish to purchase Services or products described on the Site (each, a "Transaction"), National Nursing, A Professional Corporation will request certain information from you applicable to your Transaction, including credit card and other payment information. Any such information provided to National Nursing, A Professional Corporation will be treated in the manner described in our Online Privacy Policy. By supplying such information, you grant National Nursing, A Professional Corporation the right to provide it to authorized third parties for purposes of facilitating the completion of Transactions initiated by you or on your behalf. You agree to pay all charges incurred under your account at the price(s) in effect when such charges are incurred, including all applicable taxes. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE ANY CREDIT CARD OR OTHER PAYMENT MECHANISM USED IN CONNECTION WITH ANY TRANSACTION.

Descriptions of, or references to, Services or products on the Site do not imply National Nursing, A Professional Corporation's endorsement of any third-party products or services. We reserve the right, without prior notification, to change such descriptions, limit order quantities, and/or refuse service. Price and availability of any Service or product are subject to change without notice. National Nursing, A Professional Corporation is not responsible for pricing or description errors. Refunds and exchanges are subject to National Nursing, A Professional Corporation's refund and exchange policies in effect at the time of the applicable Transaction. Consent to Electronic Communications

You agree to receive electronic communications from National Nursing, A Professional Corporation, including by e-mail and SMS text message, regarding your account, appointments, care coordination, billing, and other Services-related matters. By providing your phone number, you grant National Nursing, A Professional Corporation permission to send you SMS text messages and emails regarding scheduling, wait times, follow-up care, billing, and other Services-related messages.

You understand that email and standard SMS messaging are not encrypted or fully confidential methods of communication, and there is a risk that messages regarding your healthcare could be intercepted or accessed by a third party. By consenting to these communications, you acknowledge and accept this risk.

You may opt out of SMS communications at any time by texting "STOP" to us. Upon receipt, we will send a confirmation of your unsubscription. Text "HELP" at any time for assistance. Message and data rates may apply; message frequency varies. Contact your wireless provider with questions about your text or data plan. User Content

If you submit, upload, post, or transmit any content, information, files, images, or other materials to us or through the Site ("User Content"), you agree not to provide any User Content that: (a) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior; (b) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets, or intellectual property rights of any person or entity; or (c) contains or transmits a virus or any other harmful component. You agree not to contact other Site users through unsolicited communications. You represent and warrant to National Nursing, A Professional Corporation that you have the legal right and authorization to provide all User Content submitted by you.

You agree not to: (i) access the Site or Services in any unlawful way or for any unlawful purpose; (ii) post or transmit any libelous, defamatory, obscene, fraudulent, or malicious content, including viruses, malware, or code designed to damage or interfere with the Site or Services; (iii) impersonate or misrepresent your identity or your affiliation with any person or entity; (iv) tamper, hack, spoof, copy, modify, or otherwise corrupt the administration, security, or proper function of the Site or Services; (v) use bots or scripts with the Site; (vi) attempt to reverse engineer, decompile, or disassemble any portion of the Site; or (vii) harvest or collect personal health information about any other individual using the Site.

Monitoring

We have no obligation to monitor materials that you or third parties transmit or post on or to the Site. However, you acknowledge and agree that we have the right (but not the obligation) to monitor the Site and any materials you transmit or post; to alter or remove any such materials; and to disclose such materials to any third party as necessary to operate the Site properly, to protect ourselves and our users, and to comply with legal obligations or governmental requests.

Ownership and Intellectual Property

This Site is owned and operated by National Nursing, A Professional Corporation. The entire contents and design of the Site are protected by U.S. and international copyright and trademark law. All rights regarding the Site and materials contained on the Site are either owned by National Nursing, A Professional Corporation, licensed to it, or used with permission. National Nursing, A Professional Corporation and its licensors retain all proprietary rights to the contents of this Site. Subject to these Terms, National Nursing, A Professional Corporation grants you a revocable, nontransferable, personal, nonexclusive license to access and use the Site for your personal, noncommercial purposes.

All rights not expressly granted to you are reserved and retained by National Nursing, A Professional Corporation or its licensors. Neither the Site nor any part of it may be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without the prior written consent of National Nursing, A Professional Corporation. You may view, download, and print a single copy of materials from the Site only for personal, noncommercial, and informational purposes, provided that: (1) you do not alter the materials; (2) you include all applicable copyright and trademark notices; and (3) you do not use the materials in a way that suggests an association with National Nursing, A Professional Corporation. National Nursing, A Professional Corporation may terminate this license at any time. If you breach any of these Terms, your license terminates immediately and automatically.

If you believe in good faith that content on this Site infringes a valid copyright owned by you, you or your agent may send National Nursing, A Professional Corporation a notice requesting that the material be removed or access to it blocked. Security

We have implemented technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

Representations and Warranties

You represent and warrant to us that: (a) you are at least eighteen (18) years of age; and (b) your use of this Site will be in compliance with these Terms and all applicable laws.

No Warranties

USE OF THIS SITE AND THE SERVICES IS AT YOUR OWN RISK. Limitation of Liability and Damages

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR ANY SERVICE IS TO STOP USING THE SITE OR SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NATIONAL NURSING, A PROFESSIONAL CORPORATION PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGE RESULTING FROM YOUR USE OR INABILITY TO USE THIS SITE, THE SERVICES, OR THE MATERIALS ON THIS SITE. THIS PROTECTION COVERS CLAIMS BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, AND ANY OTHER LEGAL THEORY, AND COVERS ALL LOSSES AND CLAIMS OF ANY TYPE, INCLUDING, WITHOUT LIMITATION, DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, RELIANCE, CONSEQUENTIAL, EXEMPLARY, AND PUNITIVE DAMAGES, PERSONAL INJURY, WRONGFUL DEATH, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION. TO THE EXTENT ANY ASPECTS OF THE FOREGOING LIMITATIONS OF LIABILITY ARE NOT ENFORCEABLE, THE MAXIMUM LIABILITY OF NATIONAL NURSING, A PROFESSIONAL CORPORATION TO YOU WITH RESPECT TO YOUR USE OF THIS SITE IS FIFTY DOLLARS ($50.00).

Disputes

If a dispute of any kind arises, we want to understand and address your concerns promptly and to your satisfaction. Please contact us at support@natnursing.com with any dispute. If we cannot resolve your concerns informally, we agree to a dispute resolution process requiring individual arbitration as described below. "Disputes" means any claim, controversy, or dispute (whether involving contract, tort, equitable, statutory, or any other legal theory) between you and National Nursing, A Professional Corporation, including its processors, suppliers, or licensors or their respective affiliates, agents, directors, or employees, relating in any way to these Terms, our relationship, our advertising, or your use of the Services.

Binding Individual Arbitration

You and National Nursing, A Professional Corporation agree to arbitrate all Disputes. Instead of a judge or jury, a neutral arbitrator will decide the case and has the power to award the same damages and relief that a court can.

ANY ARBITRATION UNDER THIS AGREEMENT WILL BE ON AN INDIVIDUAL BASIS ONLY. CLASS ARBITRATIONS, CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED. YOU ARE WAIVING YOUR RIGHT TO HAVE YOUR CASE DECIDED BY A JURY AND TO PARTICIPATE IN A CLASS ACTION AGAINST NATIONAL NURSING, A PROFESSIONAL CORPORATION. IF ANY PROVISION OF THIS ARBITRATION AGREEMENT IS FOUND UNENFORCEABLE, THE UNENFORCEABLE PROVISION SHALL BE SEVERED AND THE REMAINING ARBITRATION TERMS SHALL BE ENFORCED; IN NO CASE SHALL THERE BE A CLASS ARBITRATION.

All Disputes shall be resolved finally and exclusively by binding individual arbitration with a single arbitrator administered by ADR Services, Inc. under its then-applicable arbitration rules. Consumer claimants (individuals whose transaction is intended for personal, family, or household use) may elect to pursue their claims in their local small-claims court rather than through arbitration. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, fully applies. If you are a consumer bringing a claim relating to personal, household, or family use, any arbitration hearing will occur within the county where you reside. Otherwise, any arbitration hearing will occur in Riverside, California, or another mutually agreeable location, or a location ordered by the arbitrator.

The arbitrator's award shall be binding on the parties and may be entered as a judgment in any court of competent jurisdiction. If you prevail on any claim for which you are legally entitled to attorney's fees, you may recover those fees from the arbitrator. National Nursing, A Professional Corporation will not seek to have you pay its attorney's fees unless the arbitrator determines that your claim was frivolous. Subject to and without waiver of the arbitration provisions above, you consent to the exclusive jurisdiction and venue of the state courts in Riverside County, California, or the federal court for the Central District of California, for any judicial proceedings not subject to arbitration.

Governing Law and Jurisdiction

This Agreement is entered into and performed in the State of California, United States of America, and is governed by and construed under the laws of the State of California, exclusive of any choice of law or conflict of law provisions. Use of this Site is prohibited in any jurisdiction whose laws would void this Agreement in whole or in material part, or which makes accessing the Site illegal. Users in such jurisdictions access the Site entirely at their own risk.

Limitation on Time to Initiate a Dispute

Unless otherwise required by law, any action or proceeding relating to a Dispute must be commenced within one (1) year after the cause of action accrues.

Requests for Information

If you contact National Nursing, A Professional Corporation and request information about our programs or Services, we will use your email or postal address to provide the information you requested. We may use and share information you provide us as described in our Online Privacy Policy.

Links to Other Websites

The Site may contain links to third-party websites as a convenience to you. The inclusion of any website link does NOT imply an approval, endorsement, or recommendation by National Nursing, A Professional Corporation. You agree that you access any such website at your own risk, and that such site is governed by that website's own terms and policies, not these Terms. National Nursing, A Professional Corporation expressly disclaims any liability for third-party websites. When you leave our Site by following a link, our Online Privacy Policy and Notice of Privacy Practices are no longer in effect.

Downloadable Files and Email

Force Majeure

National Nursing, A Professional Corporation will not be deemed to be in breach of these Terms or liable for any breach due to any event or occurrence beyond our reasonable control, including without limitation acts of God, pandemic, terrorism, war, invasion, failures of public networks, electrical shortages, earthquakes, floods, civil disorder, strikes, fire, or other disaster.

Support; Functionality

All questions and requests relating to Site support must be directed to National Nursing, A Professional Corporation. National Nursing, A Professional Corporation will use commercially reasonable efforts to respond to questions and provide support. We may change or remove functionality and other features of the Site at any time, without notice.

Modified Devices and Operating Systems

National Nursing, A Professional Corporation will have no liability for errors, unreliable operation, or other issues resulting from use of the Site on rooted or jailbroken devices or any mobile device not in conformance with the manufacturer's original specifications, including use of modified versions of the operating system (collectively, "Modified Devices"). Use of the Site on Modified Devices is at your sole risk and liability.

No Liability for Select Third Parties

Your wireless carrier, mobile device manufacturer and retailer, operating system developer, and the operator of any application store or marketplace through which you obtained the Site, and their respective affiliates, suppliers, and licensors (collectively, the "Select Third Parties"), are not parties to these Terms and are not responsible for the Site. National Nursing, A Professional Corporation, and not any Select Third Parties, is responsible for addressing any claims raised by you or any third party regarding the Site or your use or possession thereof.

YOU AGREE: (A) THE SELECT THIRD PARTIES DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, WITH RESPECT TO THE SITE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY, QUIET ENJOYMENT, QUALITY OF INFORMATION, AND FITNESS FOR A PARTICULAR PURPOSE; (B) IN NO EVENT WILL THE SELECT THIRD PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT OR THE SITE; AND (C) THE MAXIMUM LIABILITY OF ANY SELECT THIRD PARTY FOR ALL CLAIMS OF EVERY KIND WILL NOT EXCEED FIVE DOLLARS ($5.00). THE SELECT THIRD PARTIES ARE INTENDED THIRD-PARTY BENEFICIARIES OF THESE TERMS.

Assignment

You may not assign any rights or obligations under this Agreement without National Nursing, A Professional Corporation's prior written consent. National Nursing, A Professional Corporation may assign all or part of this Agreement without restriction.

Survival

All sections of this Agreement that, by their nature, are designed to survive expiration or termination, including but not limited to indemnity, limitation of liability, dispute resolution, and intellectual property provisions, shall survive.

Waiver

No waiver of any of these Terms shall be deemed a further or continuing waiver of such term or any other term. No failure by National Nursing, A Professional Corporation to assert any right or provision shall constitute a waiver of that right or provision.

Notices

You agree that National Nursing, A Professional Corporation may provide any and all notices to you by e-mail, telephone, posting on the Site, or any other reasonable method.

Severability

If any provision of this Agreement is held unenforceable by a court or tribunal of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remainder of this Agreement shall continue in full force and effect.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between you and National Nursing, A Professional Corporation with respect to its subject matter and supersedes all prior agreements and understandings relating thereto. It may not be modified except as described in the "Changes to Terms" section above. Anything on the Site inconsistent or in conflict with the terms of this Agreement is superseded by the terms of this Agreement.
